Terms of Service

Clear terms for a transparent partnership

1. Agreement

These Terms of Service (“Terms”) govern the provision of services by NetManage IT. By engaging our services, you (“the Client”) agree to be bound by these Terms.

2. Services

We provide managed IT services including:

  • Network and infrastructure management
  • Cybersecurity services
  • Cloud and server management
  • Remote and on-site IT support
  • VoIP and connectivity solutions

Specific services will be agreed separately in writing or in a service agreement.

3. Service Availability

  • Scheduled maintenance with prior notice where possible
  • Emergency maintenance without notice
  • No guarantee of uninterrupted or error-free service

Service levels may be defined in a separate SLA where applicable.

4. Client Responsibilities

  • Provide accurate and up-to-date information
  • Maintain confidentiality of credentials
  • Ensure lawful use of services
  • Not misuse or disrupt systems
  • Maintain backups unless included in service

5. Fees and Payment Terms

  • Invoices payable upfront unless Net30 agreed
  • Net30 invoices due within 30 days
  • Flexible billing (monthly, annually, or agreed)

Late Payments:

  • Service suspension or termination
  • Interest charges under the Late Payment of Commercial Debts Act 1998

Credit Terms:

  • Subject to approval
  • May be withdrawn at any time

6. Data Protection

Both parties will comply with applicable data protection laws including UK GDPR and the Data Protection Act 2018. A separate Data Processing Agreement (DPA) may apply.

7. Confidentiality

Both parties agree to keep all confidential information secure and not disclose it without consent unless required by law.

8. Limitation of Liability

  • No liability for indirect or consequential loss
  • Liability limited to fees paid in previous 12 months

Exceptions:

  • Death or personal injury due to negligence
  • Fraud or misrepresentation
  • Liabilities that cannot be excluded by law

9. Termination

  • Non-payment
  • Breach of terms
  • Unlawful use

Clients may terminate services based on agreed notice periods.

10. Force Majeure

We are not liable for delays or failures caused by events beyond our control including natural disasters, outages, or third-party failures.

11. Governing Law

These Terms are governed by the laws of England and Wales. Disputes fall under the jurisdiction of their courts.
